PREAMBLE:
We, the members of OBIOMA ONYEADOR FOUNDATION in Nigeria, having solemnly and firmly resolved amongst ourselves to form an association under God and common objectives, to the love, progress, welfare and unity of ourselves.
And to provide a constitution for the good governance and smooth running of the Association in Democratic principles of freedom, equity and justice, do hereby make and give ourselves the following constitution.
ARTICLE I: NAME
The name of the association shall be OBIOMA ONYEADOR FOUNDATION (hereinafter called “The Foundation”). The registered office of the foundation is Umuokpara Mgbidi, Oru West Local Government Area, Imo State.
ARTICLE II: MOTTO
The motto of the association is “Be your brothers’ keeper and service to humility”.
ARTICLE III LOGO
The Logo of the foundation shall be the picture of a family: made up of the man, his wife and their children trapped in the map of Nigeria, depicting the fate of the less privileged in the society.
ARTICLE IV: SEAL
a. The foundation shall have a common seal which shall be kept in the custody of the secretary of the foundation.
b. The seal shall be circular in form, with the words “OBIOMA ONYEADOR FOUNDATION and Logo of the foundation inserted therein.
ARTICLE V: AIMS AND OBJECTIVES OF THE FOUNDATION
a. to be a voice for the voiceless by defending human rights of the less privileged and those with health challenges in Nigeria.
b. To care for orphans, widows, old peoples pen and the less privileged in Nigeria.
c. To source for funds from philanthropists and public spirited organizations, and with same provide formal qualitative education to orphans, less privileged and vulnerable children, with intention to equip them better to face challenges in the Nigeria society .
d. To give the less privileged and people with health challenges a sense of belonging, by extending acts of charity to them, at least once a year.
e. To train them as good Ambassadors of Jesus Christ by inculcating into them self-reliance using the Holy Bible as our standard.
f. To organize seminar and workshops from time to time, and through the mass media, to educate the masses on the spread and control of HIV/AIDS in conjunction with the National Agency on the control of AIDS and the Federal Ministry of Health, Abuja.
ARTICLE 6: MEMBERSHIP OF THE FOUNDATION
a. This foundation shall consist of unlimited numbers of members, irrespective of gender, tribe or nationality.
b. Members shall pledge to abide by the provisions of this constitution, in addition to the code of conduct of members as provided in the bye-laws of the foundation.
c. Intending members shall not be below the age of majority. They shall bring a letter of acknowledgment from the Chairman or President General of their community where he hails from.
ARTICLE 7: BOARD OF TRUSTEES
A. The trustees of the foundation for the purposes of the Companies and Allied Matters Act of 1999, Part C, shall be appointed at a general meeting by two-third majority votes of membership present.
B. Such trustees shall be six in number and shall be known as the REGISTERED TRUSTEES OF OBIOMA ONYEADOR FOUNDATION.
C. The Trustees may hold office for life, but shall cease to hold office if same:
i. Resigns his office
ii. Ceases to be a member of the Registered Trustees of OBIOMA ONYEADOR FOUNDATION.
iii. Becomes insane
iv. Is officially declared bankrupt.
v. Convicted of a criminal offence involving dishonesty by a court or tribunal of competent jurisdiction.
vi. Is recommended for removal from office by a Board of Governors and Trustees majority votes of membership present at any general meeting of OBIOMA ONYEADOR FOUNDATION.
vii. Ceases to reside in Nigeria.
D. Upon a vacancy occurring in the number of Trustees, a general meeting will be held to elect another eligible member of THE FOUNDATION to fill the vacuum.

ARTICLE 9: COMMENCEMENT
This constitution comes into effect from this …… day of …………………, 2016 shall be binding on all members of OBIOMA ONYEADOR FOUNDATION, irrespective of the status of the said members.
